VertiGIS closes £87m take-private of location data specialist 1Spatial

VertiGIS, backed by Battery Ventures, has closed its acquisition of 1Spatial, a longstanding partner and provider of location master data management (LMDM) software. The deal, announced in December 2025 and valued at £87.1 million, paid 1Spatial shareholders 73 pence per share in cash. Completion took place on 29 April 2026, and 1Spatial's AIM listing was cancelled the next day.

VertiGIS plans to pair 1Spatial's rules-based data validation and automation layer, including the 1Integrate engine and 1Streetworks, with its own application portfolio. The combination extends VertiGIS into the UK, France and the Benelux region and reinforces its presence in North America and Australia. The company says 1Spatial customers should see uninterrupted service and products, and it positions cleaner data as preparation for AI-enabled workflows.

Why it matters: The deal shows consolidation between GIS application vendors and data-quality specialists, with data governance treated as a precondition for AI use. Organisations running ArcGIS-based workflows may see tighter integration of validation tools with VertiGIS products.
